Vancouver, British Columbia –August 14, 2025 – - TheNewswire - OrionNutraceuticals Inc. , (the“ Company ” or “ Orion ”) announces that it has changed its auditorfrom DMCL LLP (“ FormerAuditor ”) to Adam SungKim Ltd. (“ Successor Auditor ”)effective August 8, 2025 at the request of the Company.

The Company has confirmed that there were noreservations in the Former Auditor’s audit reports for any financialperiod during which the Former Auditor was the Company’s auditor.There are no “reportable events” (as defined in NationalInstrument 51-102 – Continuous Disclosure Obligations ) between theCompany and the Former Auditor.

In accordance with NI 51-102, the Notice of Change ofAuditor, together with the required letters from the Former Auditorand the Successor Auditor, have been reviewed by the Company’s AuditCommittee and the board of directors of the Company and have beenfiled on SEDAR+ at www.sedarplus.ca .
