Pambili announces partial revocation of failure to file Cease Trade Order

CALGARY, Canada – TheNewswire - Sept. 26, 2025 — Pambili Natural Resources Company (“Pambili” or the“Company”) (TSXV: PNN) announces that the Alberta SecuritiesCommission (the “ ASC ”) has issued an order dated Sept. 25,2025 (the “ PartialRevocation Order ”) partially revoking thefailure-to-file cease trade order issued against the Company on July3, 2025 (the “ FFCTO “). A copy of the Partial RevocationOrder is available on SEDAR+.
The FFCTO was issued because the Company was unable tofile its audited annual financial statements, management’sdiscussion and analysis, and related CEO and CFO certifications forthe year ended Dec. 31, 2024 (the “ Required Filings ”)by the April 30, 2025, deadline. The Company was also unable to fileits interim financial statements for the three months ended March 31,2025 (the “Interim Statements”).
The Partial Revocation Order permits the Company tocomplete the first tranche (“ Tranche ”) of the non-brokered privateplacement (the “ Offering ”),previously announced on June 23, 2025. The FFCTOcontinues to apply in all other respects.
Pambili intends to allocate the proceeds from theTranche as follows:

Prior to completion of the Tranche, each Investor willreceive a copy of the FFCTO and the Partial Revocation Order, and willbe required to provide a signed and dated acknowledgement to theCompany that all of the Company’s securities, including the CommonShares issued in the Tranche, will remain subject to the FFCTO untilsuch order is fully revoked, and that the granting of the PartialRevocation Order by the ASC does not guarantee the issuance of a fullrevocation order in the future.
Completion of the Tranche is subject to the finalapproval of the TSX Venture Exchange (the “ Exchange ”) and theCompany has applied to the Exchange for that approval. There can be noassurances that the Tranche will be completed on the terms set outherein, or at all, or that the proceeds of the Tranche will besufficient for the purposes set out in our News Release dated Aug. 27,2025.
