Volatus Aerospace to Achieve Full Ownership of Synergy Aviation and Consolidate Commercial Aircraft Operations

MWN-AI** Summary

Volatus Aerospace Inc. (TSXV: FLT | OTCQX: TAKOF | FSE: ABB.F), a Canadian aerospace and defense company, has announced its decision to acquire the remaining minority interest in Synergy Aviation Ltd., thereby achieving full ownership. The transaction is subject to approval from the Company’s Board of Directors and the TSX Venture Exchange. Previously, Volatus increased its stake in Synergy to 58.47% in 2025 and will now acquire the remaining 41.53% through the issuance of up to approximately 2.59 million common shares, priced based on the 30-day volume-weighted average prior to closing. The deal is structured as an arm's length transaction without any finder’s fees.

This acquisition allows Volatus to consolidate its commercial aircraft operations under a unified brand, eliminating minority interests and enhancing governance, financial reporting, and capital allocation. Such alignment strengthens Volatus’ integrated aviation platform, improving coordination across its various operational areas including crewed aircraft, unmanned systems, training, engineering, and manufacturing. The company is also expanding its operational base in Tulsa, Oklahoma, which aims to support the U.S. oil and gas sector by commencing commercial aircraft operations soon.

Glen Lynch, CEO of Volatus Aerospace, emphasized that completing this acquisition would enable the company to operate more cohesively within its aerospace platform, enhancing the integration of both crewed and uncrewed capabilities. This strategic move positions Volatus for sustained growth in both North American and international markets.

The acquisition aligns with Volatus’ broader aerospace strategy, which includes initiatives for centralized engineering and domestic manufacturing in Canada.

MWN-AI** Analysis

Volatus Aerospace's strategic move to acquire the remaining interest in Synergy Aviation marks a significant step in consolidating its commercial aircraft operations under a single brand. This decision is poised to streamline governance, enhance financial reporting, and optimize capital allocation, which are essential for a robust operational framework.

As a financial analyst, I recommend investors consider the broader implications of this acquisition. The consolidation is likely to lead to improved operational efficiencies, particularly in coordinating crewed and uncrewed systems, essential for future growth in the aerospace sector, especially with increasing demand in North America. Volatus's plans to enhance its operational aviation base in Tulsa, aimed at supporting the U.S. oil and gas sector, will further bolster its position.

Investors should monitor the short-term market reactions as shares are issued to complete this acquisition. Volatus's decision to issue common shares, rather than cash, hints at a strategy aimed at preserving liquidity, which might be viewed positively in a volatile market.

Looking forward, the company's focus on integrating advanced autonomy capabilities and expanding its manufacturing initiatives in Canada suggests a commitment to innovation and operational scalability. With the aerospace industry recovering post-pandemic, Volatus is well-positioned to capitalize on the recovery phase, especially in diversifying its service offerings in public safety and government operations.

However, potential investors should remain cautious of market volatility, particularly surrounding regulatory approvals and the evolving competitive landscape in aerospace and defense. Careful assessment of the company's ongoing strategies and market positioning against emerging risks is warranted. Overall, the acquisition is a bullish indicator for Volatus Aerospace, suggesting a potential upward trajectory for its stock as it consolidates its operations and demonstrates increased operational coherence.

(“Synergy”), resulting in Volatus holding 100% ownership of Synergy, subject to approval of the Company’s Board of Directors and the TSX Venture Exchange (“TSX-V”).

The consideration will be satisfied through the issuance of common shares of Volatus based on the 30-day volume weighted average price prior to closing.
