Zonetail Announces Closing Private Placement of Shares

Toronto, Canada – TheNewswire - June 23, 2025 - (TSXV:ZONE, OTCPinks:ZTLLF) -Zonetail Inc. ("Zonetail" or the "Company") ispleased to announce the closing (the “Closing”) of the second andfinal tranche of non-brokered private placement of up to $1,000,000 incommon shares of the Company at a purchase price of $0.02 per Share(the "Offering"). The Company closed an additional $175,000of the Offering. This brings the total private placement to 13,181,525common shares for gross proceeds of $263,630. No new insiders werecreated as a result of the Closing.

The proceeds derived from the sale of the shares willbe for the completion of major integration projects currentlyunderway, further development projects, sales efforts, as well asgeneral working capital purposes. Assuming aggregate gross proceedsare raised, approximately 30% will be used for Non-Arm’s lengthsalaries, 30% for technology additions and 26% for arm’s lengthsalaries and 14% for administration.

A portion of the Offering may be allocated to investorsrelying on the “accredited investor” or other exemptions availableto Zonetail under National Instrument 45-106 – ProspectusExemptions.

All of the securities issuable in connection with theOffering will be subject to a hold period expiring four months and oneday after the date of issuance of the securities.
